DEFINITIONS:
EpicPR shall be defined herein as any or all of the following:

MEMBER shall be defined herein as any or all of the following:

a person, persons, company, or entity using or interacting with EpicPR and/or
the website www.epicpr.com

a person, persons, company, or entity viewing any content hosted on,
distributed by, or syndicated by EpicPR and/or www.epicpr.com
These Terms and Conditions constitute an Agreement (hereinafter referred to as
"Agreement") between the MEMBER and EpicPR, a division of Epic Innovations,
Inc.

MEMBER agrees to abide by and accepts the Terms and Conditions set forth in
this Agreement at all times.
- MEMBER warrants that it is fully authorized to execute this Agreement.
MEMBER further warrants that it is fully authorized to act on behalf of the owner and/or Copyright holders of any and all content MEMBER delivers to, submits to, distributes to, and/or syndicates through EpicPR.
- MEMBER agrees to refer to this Agreement
frequently to note any changes made by EpicPR. EpicPR reserves, and MEMBER
acknowledges and agrees to EpicPR's right, to modify this Agreement at any
time, without prior notice to the MEMBER. MEMBER agrees to be bound to the Terms and Conditions of this Agreement, and all subsequent modifications, changes, and/or alterations.
- EpicPR reserves the right to deny service to any MEMBER for any reason, at
any time.
- MEMBER accepts responsibility for the content and/or information (including the accuracy of all
content and information) submitted by MEMBER to EpicPR.
- MEMBER shall indemnify and hold harmless EpicPR

Epic Innovations' officers, employees, contractors, and consultants

www.epicpr.com and related websites

EpicPR's subsidiaries
-
EpicPR's parent companies

EpicPR's affiliated companies

- EpicPR's distributors)
from and against any and all claims, losses, damages, liabilities, costs and
expenses (including reasonable attorney's fees) arising out of or relating to
any breach by Member of this Agreement or relating to any and all content or
information provided by or submitted by MEMBER.
- MEMBER agress to verify the accuracy of all information submitted by MEMBER. EpicPR assumes no
responsibility for verifying the accuracy of any information submitted by MEMBER, or any
information contained therein.
- MEMBER certifies, agrees, represents and warrants that it is either the owner and/or Copyright holder of all information and/or content delivered to,
submitted to, and/or syndicated through EpicPR by MEMBER
OR that MEMBER is authorized by the owner(s) and Copyright holder(s) of the
information and/or content to deliver, submit, and/or syndicate all information
and/or content submitted by MEMBER to EpicPR.
- MEMBER
grants EpicPR the non-exclusive, world wide rights to access, store, publish,
syndicate, and/or distribute, in part or in whole, all information and content submitted by MEMBER to EpicPR on behalf of the owner(s) and/or Copyright holder(s) of the information and/or
content. MEMBER further grants EpicPR the right to market other content or advertising near or around any and all content or information submitted by MEMBER to EpicPR.
- MEMBER will comply with all applicable laws, rules and regulations,
including but not limited to the Children's Online Privacy Protection Act of
1998 and laws relating to email "spam".
- MEMBER represents and warrants that none of the information or content submitted by MEMBER will contain any statements
that are obscene, libelous, slanderous or otherwise defamatory, false or
misleading or which violates any copyright, right of privacy or publicity or
other right of any person.
- MEMBER acknowledges EpicPR's right, and EpicPR reserves the right, to reject, delete, or edit copy or other information
submitted by MEMBER to EpicPR. EpicPR does not warrant nor guarantee that EpicPR's services will be free from
errors, including omissions, interruptions, delays, losses or defects, whether
human or mechanical. EpicPR makes no warranties, expressed or implied, as to
its services, including but not limited to any warranties of merchantability or
suitability for print or broadcast. The liability of EpicPR and its affiliates
to MEMBER shall be limited to the refund of the fees paid by MEMBER. In no
event will EpicPR or its affiliates be liable for any indirect, consequential,
special, exemplary or incidental damages.
EpicPR does not warrant specific placement of any information submitted by
MEMBER nor that any content or information submitted by MEMBER to EpicPR will be displayed, shown, distributed, or otherwise picked up on or by any news agency or news outlet.
- MEMBER agress to receive communications, including emails, SMS / Text messages, and other electronic communications, from EpicPR for
any reason.
- Except as expressly provided, nothing shall be construed as conferring any
license to any of EpicPR's or any third party's services, including
intellectual property rights, whether by estoppels, implication, waiver, or
otherwise. Without limiting the generality of the foregoing, MEMBER
acknowledges and agrees that certain Content available through and used to
operate the EpicPR network and the Products and Services is protected by
copyright, trademark, patent, or other proprietary rights of EpicPR and its
affiliates, licensors, and service providers. Except as expressly provided to
the contrary, MEMBER agrees not to modify, alter, or deface any of the
trademarks, service marks, or other intellectual property made available by
EpicPR.
- MEMBER agrees not to promote themselves as sponsored by, affiliated
with, or endorsed by EpicPR, any of EpicPR's affiliates, or any of EpicPR's
service providers. MEMBER agrees not to use any of the trademarks or service
marks or other Content accessible through the EpicPR network of any purpose
other than the purpose for which such Content is made available to MEMBERs by
EpicPR.
- MEMBER agrees not to defame or disparage EpicPR, the trademarks or
service marks of EpicPR, or any aspect of the Products and Services. MEMBER
agrees not to adapt, translate, modify, decompile, disassemble, or reverse
engineer the Products and Services or any software or programs used in
connection with EpicPR.
- Information, services, methods and processes made available to the MEMBER are
the intellectual property of EpicPR. MEMBER agrees to use this service for its
intended purpose and not for the illicit purposes including, but not limited
to, the reverse engineering of the site and / or its processes and the
inclusion of such processes or services in a derivative service.
- MEMBER acknowledges and agrees that MEMBER and EpicPR are independent
contractors under these Terms and Conditions, and nothing herein shall be
construed to create a partnership, joint venture, agency, or employment
relationship. Neither party pursuant to these Terms and Conditions has
authority to enter into agreements of any kind on behalf of the other and
neither party shall be considered the agent of the other.
- Should MEMBER violate any terms of this Agreement, EpicPR's Terms and Conditions, and/or any other rights of EpicPR,
EpicPR reserves the right to pursue any and
all legal and equitable remedies against MEMBER, including, without limitation,
terminating any and all MEMBER accounts on any and all of the EpicPR network
web sites.
- MEMBER understands that EpicPR's services are not refundable under any
circumstances.
Once MEMBER purchases any good or service EpicPR, any refunds shall be issued at the sole discretion of EpicPR.
- MEMBERS obligations shall be binding on the recipient's heirs, successors and
assigns.
- This Agreement shall be governed by and construed under the laws of the State
of Nevada.
- All Terms and Conditions of this Agreement shall survive termination of this Agreement indefinitely.
